Terms of Service

These Terms of Service govern your use of the Reapdat platform and services. Please read them carefully.
1. Acceptance of Terms
By accessing or using Reapdat ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use the Service. We recommend reading these Terms carefully before creating an account.
2. Service Description
Reapdat is a multi-tenant AI customer interaction platform that provides:
- Vox AI: An AI-powered phone receptionist that answers calls, qualifies leads, and books appointments using a dedicated business phone number.
- Engage AI: An embeddable AI website widget that handles live chat, voice conversations, and appointment booking for website visitors.
- Inbox AI: An AI email agent that reads, understands, and responds to customer emails automatically.
- Portal Dashboard: A management interface for analytics, conversation history, lead management, knowledge base configuration, CRM integrations, and billing.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. Account Registration
To use the Service, you must create an account. You agree to:
- Provide accurate, current, and complete registration information.
- Maintain the security of your password and API keys. You are responsible for all activity under your account.
- Notify us immediately of any unauthorized access to your account.
- Not share your account credentials with third parties or create multiple accounts for the same business without authorization.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights.
- Transmit malicious code, spam, or unsolicited communications.
- Attempt to reverse-engineer, decompile, or extract source code from the Service.
- Circumvent rate limits, authentication mechanisms, or access controls.
- Use the AI to generate content that is illegal, harassing, defamatory, or fraudulent.
- Impersonate another person or entity, or misrepresent your affiliation with any person or entity.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service for high-risk activities where AI errors could result in physical harm, including medical diagnosis, emergency response, or safety-critical systems.
5. Intellectual Property
The Service, including its software, design, documentation, and branding, is owned by Reapdat and protected by intellectual property laws. Your use of the Service does not grant you any ownership rights.
- Your content: You retain ownership of all data, documents, and knowledge base content you upload. You grant us a limited license to process this content solely to provide the Service.
- AI-generated output: Responses generated by the AI on your behalf (call transcripts, chat replies, email drafts) are considered part of your service data. You may use them for your business purposes.
- Feedback: If you provide suggestions, ideas, or feedback about the Service, we may use them without obligation to you.
6. Payment and Billing
The following terms apply to paid subscriptions:
- Plans and pricing are as listed on our pricing page. We may update pricing with 30 days' notice.
- Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date.
- Payments are processed securely through Stripe. We do not store your full credit card number.
- Refunds are handled on a case-by-case basis. Contact support within 14 days of a charge for refund requests.
- If payment fails, we will attempt to charge your payment method up to 3 times. After 3 failed attempts, your account may be downgraded to the Free plan.
- Usage overages beyond your plan limits may result in throttling or temporary suspension of certain features until the next billing cycle.
7. Data Processing
We process your data in accordance with our Privacy Policy. Key points:
- We act as a data processor on your behalf. You remain the data controller for your customer data.
- Your data is isolated in a multi-tenant architecture. No tenant can access another tenant's data.
- We do not use your data to train AI models for other customers. Your knowledge base content is used exclusively for your AI agents.
- You can export or delete all your data at any time from the portal dashboard.
- For GDPR-covered data, we will execute a Data Processing Agreement (DPA) upon request.
8. Service Level
We commit to the following service levels:
- Target uptime: 99.9% measured monthly, excluding scheduled maintenance windows.
- Scheduled maintenance will be announced at least 48 hours in advance via email and the status page.
- Enterprise plan customers may negotiate a custom SLA with specific remedies for downtime.
- We are not liable for downtime caused by third-party service outages (Twilio, OpenAI, Stripe, Google), force majeure events, or customer-side infrastructure issues.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- Reapdat is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
- We do not guarantee that AI-generated responses will be accurate, complete, or suitable for your specific needs. You are responsible for reviewing AI output before acting on it.
- Our total aggregate liability for any claims arising from your use of the Service shall not exceed the amount you paid to Reapdat in the 12 months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.
10. Termination
Either party may terminate the relationship:
- You may cancel your subscription and delete your account at any time from the portal settings page.
- We may suspend or terminate your account if you violate these Terms, fail to pay, or engage in activity that threatens the security or performance of the Service.
- Upon termination, your right to access the Service ceases immediately. Your data will be retained for 30 days to allow export, after which it is permanently deleted.
- Provisions that by their nature should survive termination (intellectual property, limitation of liability, governing law) will survive.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any disputes arising from these Terms or the Service shall be resolved exclusively in the courts located in Brampton, Ontario, Canada. You consent to the personal jurisdiction of such courts.
12. Changes to Terms
We may update these Terms from time to time. When we make material changes:
- We will update the "Last Updated" date at the top of this page.
- We will notify you via email or a prominent notice in the portal dashboard at least 14 days before the changes take effect.
- Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
- If you disagree with the changes, you may terminate your account before the effective date.
